Payments for services are due within 30 days of invoice date, unless otherwise agreed in writing. Late payments are subject to a fee of 1.5% per month or the maximum allowed by law. NexusTech reserves the right to suspend services for non-payment.
3.2. Client Responsibilities
Clients agree to provide necessary access, data, and cooperation required for NexusTech to perform the services. Failure to do so may result in project delays and additional costs.
4. Limitation of Liability
To the fullest extent permitted by law, NexusTech shall not be liable for any indirect, incidental, special, consequential or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from your access to or use of or inability to access or use the Service.
In no event shall NexusTech's total liability to you for all claims exceed the amount paid by you, if any, for accessing or using the Service during the last twelve (12) months.
5. Indemnification
You agree to indemnify, defend, and hold harmless NexusTech, its officers, directors, employees, agents, and affiliates from and against any claims, damages, obligations, losses, liabilities, costs, or debt, and expenses (including but not limited to attorney's fees), resulting from or arising out of a) your use and access of the Service, by you or any person using your account and password; b) a breach of these terms; or c) Content posted on the Service.
